These Terms and Conditions of Service (“Terms”) constitute a legally binding agreement between you and VIZIPIN LLC and its representatives, affiliates, officers, and directors (collectively, “Vizipin”) governing your access to and use of Vizipin’s real-time location-based platform, mobile applications, websites, and related services (collectively, the “Services”).

By using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Definitions

For purposes of these Terms, the following definitions apply:

“Services” means the real-time, location-based platform operated by VIZIPIN LLC, including all mobile applications, websites, software, features, technologies, communications tools, content delivery systems, and related products or services provided by Vizipin. The Services include the ability for Users to request Pins, for Fulfillers to perform real-world capture services, and for Users to access, view, or interact with content and functionality made available through the Platform.

“User” means any individual or entity who accesses or uses the Services, including those who submit or request a real-world capture service (a “Pin”).

“Fulfiller” means any individual or entity who voluntarily accepts, performs, or completes a Pin request by physically traveling to a location, capturing real-world visuals, or related content.

“Pin” means a request initiated by a User for a real-world capture service in which a Fulfiller travels to a specified location and produces visual content or related information from that location.

“Paid Pin” means any Pin for which a User is required to pay the Fulfiller a fee in exchange for completing the requested real-world capture service. Paid Pins may include additional terms or requirements as displayed within the Services.

“Subscription Plans” means the optional paid subscription offerings available through the Services, including but not limited to Vizi+ and Vizi Pulse, which provide Users with enhanced features, access, or privileges. All subscription payments are processed outside of Apple or Google’s in-app purchase systems, as further described within the Services.

“Platform” means the Vizipin mobile application, website, backend infrastructure, and any related tools, technologies, or services used to connect Users and Fulfillers and to facilitate Pins.

“Platform Role” refers to Vizipin’s limited function as a neutral intermediary that provides the Platform through which Users and Fulfillers may connect for the purpose of requesting and performing Pins. You acknowledge and agree that Vizipin is not a party to any agreement, transaction, arrangement, or interaction between a User and a Fulfiller, whether written or verbal. Vizipin does not supervise, direct, control, manage, employ, or assume responsibility for Fulfillers, nor does it guarantee the quality, safety, legality, accuracy, or completion of any Pin. Fulfillers operate as independent individuals or entities, and are not employees, contractors, representatives, or agents of Vizipin for any purpose. Users and Fulfillers are solely responsible for their own actions, decisions, and compliance with applicable laws when using the Services.

2. Eligibility & Age Restriction

Use of the Services is limited to individuals who are 18 years of age or older, or the legal age of majority in their jurisdiction, whichever is higher. By accessing or using the Services, you represent and warrant that you meet this age requirement and that you have the legal capacity and authority to enter into a binding agreement with Vizipin.

Vizipin does not knowingly collect, solicit, or process personal data from individuals under the age of 18. If we become aware that a user is under 18, or that personal data has been collected from a minor without verified parental consent where legally required, we will take immediate steps to delete the account, remove associated data, and restrict further access to the Services.

Parents or legal guardians who believe their child has accessed the Services or provided personal information without authorization should contact us promptly so that appropriate action can be taken.

Use of the Services by anyone who does not meet these eligibility requirements is strictly prohibited.

3. Contractual Relationship; Termination; Modification

These Terms form a binding contractual agreement between you and Vizipin governing your access to and use of the Services. By creating an account, accessing the platform, or using any feature of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Vizipin may update, revise, or modify these Terms at any time. Unless otherwise required by law, any modifications become effective immediately upon posting within the Services or upon the date indicated in the updated Terms. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.

Vizipin reserves the right—at our sole discretion and without prior notice—to suspend, restrict, or terminate your account or access to the Services for any reason, including but not limited to violations of these Terms, suspected fraudulent activity, illegal conduct, threats to user safety, or actions that may harm Vizipin, its users, or the integrity of the platform. We may also remove or limit access to content or features as necessary to protect the Services or comply with legal obligations.

You may terminate your account at any time by following the instructions within the Services. Upon termination, your right to use the Services ceases immediately, though certain provisions of these Terms may continue to apply as described herein.

Upon termination of your account or cessation of your use of the Services for any reason, any provisions of these Terms that by their nature should reasonably survive will remain in full force and effect. This includes, without limitation, provisions related to ownership, intellectual property, license rights granted to Vizipin, privacy and data use, indemnification, warranty disclaimers, limitations of liability, dispute resolution, governing law, and any obligations or rights that have accrued prior to termination. Termination does not limit any rights or remedies available to Vizipin under applicable law.

4. Pin Requests, Fulfillment, Responses & Ratings

Users may use the Services to create and post Pins requesting real-world capture services at specified locations. Fulfillers may, at their sole discretion, review available Pins and voluntarily accept those they wish to complete. Acceptance of a Pin forms an interaction solely between the User and the Fulfiller, and the fulfillment of each Pin is carried out using the tools and communication features provided through the Platform.

Vizipin does not guarantee that any Pin will be viewed, accepted, completed, or fulfilled within any particular timeframe, nor does Vizipin guarantee any specific outcome or result. Users are responsible for ensuring that their Pin requests are accurate, lawful, and appropriate for fulfillment. Fulfillers are responsible for determining whether they have the ability, availability, and willingness to complete a requested Pin.

All responsibilities, limitations, and legal relationships governing how Users and Fulfillers interact including the absence of any employment, agency, or supervisory relationship are governed by the Platform Role section of these Terms and apply fully to all Pin requests and fulfillment activities.

Certain interactions within a Pin session may be subject to limits on the number of responses a User can send. The User who created the Pin may upvote an individual response, which may, at Vizipin’s discretion, grant the responding User additional response opportunities or visibility during that session.

At the conclusion of a Pin session, Users may rate each other’s performance, conduct, or interaction using the rating tools provided within the Services. Ratings, upvotes, response limits, and related engagement features are designed to support community quality and accountability and may influence visibility, privileges, or future system interactions within the Platform.

All engagement features including but not limited to upvotes, response limits, ratings, rankings, and visibility algorithms may be introduced, modified, restricted, or removed at any time at Vizipin’s sole discretion. Vizipin does not guarantee the availability, functionality, impact, or persistence of any such feature.

5. Account Requirements

To use the Services, you must create and maintain a single active account and ensure that all information associated with that account—including your identity, contact details, and any required payment information—is accurate, current, and complete. You are responsible for safeguarding the confidentiality of your login credentials and for preventing unauthorized access to your account. By using the Services, you acknowledge that you are solely responsible for all actions, activity, and content submitted under your account, whether or not you authorized such activity. Vizipin is not liable for any loss or damage arising from your failure to maintain the security and integrity of your account.

6. Content Rights & Licensing

By uploading or transmitting content through the Services, you grant Vizipin a worldwide, royalty-free, non-exclusive, transferable, and revocable license to use, reproduce, distribute, publicly display, and create derivative works for operating, promoting, and improving the Services, including marketing and promotional purposes. You are responsible for ensuring you have the necessary rights to any content you submit.

Any photos or videos created through the Services are the result of a real-world service performed by a Fulfiller and are not sold by Vizipin as standalone digital products.

7. Payments, Subscriptions & Taxes

Users who request Paid Pins agree to pay the stated fees associated with those services at the time the request is submitted. Fulfillers may receive payments for completing Paid Pins in accordance with the terms presented within the Services. All payments are processed exclusively through Vizipin’s external payment provider, Stripe, and may be subject to applicable processing fees, taxes, or other charges. Payments made for Paid Pins are considered final and non-refundable unless Vizipin, in its sole discretion, determines otherwise. Vizipin is not responsible for delays, errors, or failures caused by third-party payment processors.

Vizipin also offers optional subscription plans, including Vizi+ and Vizi Pulse, which provide Users with operational enhancements such as increased request capacity, improved routing priority, accelerated processing tools, and other features designed to improve efficiency in completing real-world services. These subscription plans do not provide access to digital content and are strictly functional enhancements related to the performance and coordination of real-world capture services on the Platform. Subscription pricing, renewal intervals, and included features are presented at the time of purchase and may be updated from time to time. By purchasing a subscription, you authorize Vizipin and Stripe to charge your selected payment method on a recurring basis until you cancel. Subscriptions are managed entirely through Vizipin’s account settings or by contacting support. All subscription payments are processed externally via Stripe and are not affiliated with Apple or Google’s in-app purchase systems.

Taxes may apply to Paid Pins, subscription purchases, or other transactions depending on the jurisdiction in which you reside or access the Services. You are solely responsible for paying all applicable taxes, duties, and governmental charges arising from your use of the Services.

8. Refunds & Disputes

Payments made for Paid Pins are non-refundable except in the limited circumstance where the Fulfiller provides no completion that satisfies the minimum objective requirements of the User’s stated request. A refund may be considered only when the Fulfiller fails to submit any response that meaningfully addresses the specific, clearly defined, and objectively verifiable elements described in the User’s Pin. Requests based solely on subjective dissatisfaction—including dissatisfaction with angles, lighting, style, timing, personal preferences, or creative interpretation—do not qualify for a refund. Similarly, refunds will not be issued for partial or incomplete submissions, delays in communication, User error, misunderstandings of the request, or instructions that were unclear or ambiguous.

Vizipin retains the exclusive and final authority to determine whether a Paid Pin meets the minimum completion threshold and whether a refund is warranted. Users agree that Vizipin’s determination regarding refund eligibility is conclusive and binding. Any attempt to bypass this process through unauthorized chargebacks or external payment disputes may result in temporary or permanent account suspension, withheld funds, or other remedial actions as deemed appropriate by Vizipin.

Before initiating arbitration or any formal dispute resolution process, Users must first contact Vizipin to attempt to resolve the issue directly. Failure to seek resolution through Vizipin prior to pursuing formal dispute channels may result in delays or limitations on available remedies.

9. Location, Camera & Permissions

Certain features of the Services require access to your device’s location, camera, microphone, and related system permissions. By using these features, you authorize Vizipin to request and access these permissions for the purposes of enabling functionality such as creating or fulfilling Pins, capturing on-location visuals, submitting live updates, and displaying map-based content.

You may choose to enable or disable permissions at any time through your device settings. However, declining or revoking permissions may limit or disable core functionality of the Services, including the ability to view or submit location-based content, capture media, or use interactive features. Vizipin will only access these permissions when actively required for a feature you initiate, and we do not collect or use this data for any purpose other than operating the Services as described in our Privacy Policy.

10. Safety Disclaimer

Your use of the Services may involve visiting real-world locations, interacting with public environments, or meeting other users. You acknowledge and agree that you assume all risks associated with any in-person activity or travel prompted by the Services. Vizipin does not screen, endorse, or verify the safety, legality, accuracy, or appropriateness of any location, request, user-generated content, or real-world interaction suggested or facilitated through the platform.

Vizipin does not guarantee the condition, safety, or accessibility of any location, nor do we have control over environmental factors, property conditions, or the conduct of third parties. You are solely responsible for evaluating whether it is safe and lawful to visit any location or fulfill any Pin.

You are further responsible for complying with all applicable laws and regulations, including but not limited to those governing recording, consent, public conduct, trespassing, and personal privacy. Vizipin is not liable for any harm, loss, injury, or damage arising from your decisions, actions, or interactions in the physical world.

11. Prohibited Content & Activity

You agree to follow our Community Guidelines at all times when using the Services. Any violation of the Community Guidelines is considered a violation of these Terms and may result in suspension or termination of your account, removal of content, or other enforcement actions at Vizipin’s sole discretion. These rules are designed to protect our community and ensure compliance with app store requirements.

You may not post, request, fulfill, facilitate, or otherwise engage with Pins, messages, or other activity that includes or results in:

11.1 Defamatory, discriminatory, or mean-spirited content

Including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups, particularly if the content is likely to humiliate, intimidate, or harm an individual or group. Professional political satire and humor are generally exempt from this requirement.

11.2 Realistic violence or abuse

Realistic portrayals of people or animals being killed, maimed, tortured, or abused, or any content that encourages violence. In games or interactive features, “enemies” must not solely target a specific race, culture, real government, corporation, or other real entity.

11.3 Dangerous weapons

Depictions that encourage illegal or reckless use of weapons or dangerous objects, or that facilitate the purchase of firearms or ammunition.

11.4 Sexual or pornographic material

Overtly sexual or pornographic material, defined as explicit descriptions or displays of sexual organs or activities intended to stimulate erotic rather than aesthetic or emotional feelings. This includes hookup apps, pornography, or content that facilitates prostitution, human trafficking, or exploitation.

11.5 Inflammatory religious content

Inflammatory religious commentary or inaccurate/misleading quotations of religious texts.

11.6 False or misleading features

False information or misleading features, including inaccurate device data, trick/joke functionality, or fake location trackers. Features that enable anonymous or prank phone calls or SMS/MMS messaging are prohibited.

11.7 Exploiting crises

Harmful concepts that capitalize on or seek to profit from recent or current events, including violent conflicts, terrorist attacks, epidemics, or other crises.

11.8 Circumventing payments

Circumventing, attempting to circumvent, or encouraging others to circumvent Vizipin’s payment systems or other transactional processes. These rules apply to payments processed through Vizipin’s approved external payment provider, Stripe, and do not relate to Apple’s in-app purchase system, which is not used for any Vizipin transactions.

11.9 Harmful conduct

Engaging in conduct that harms, attempts to harm, or could reasonably be expected to harm the platform, other users, or third parties — including actions that impair, disrupt, or otherwise negatively affect the operation or integrity of the Services.

11.10 Other unsafe or inappropriate behavior

Any other content or activity that Vizipin determines, in its sole discretion, to be harmful, unsafe, inappropriate, disruptive, or inconsistent with the spirit of these guidelines — even if not explicitly listed above.

12. Beta Features

From time to time, Vizipin may offer access to experimental, preview, or beta features (“Beta Features”). Beta Features are provided solely for testing and evaluation, may contain bugs or errors, and are offered “as is”, “as available,” and without any warranties of any kind.

Beta Features may be modified, suspended, or discontinued at any time without notice, and Vizipin has no obligation to provide continued access, maintenance, technical support, or future availability of any Beta Feature.

Your use of Beta Features is voluntary, and you understand and agree that any feedback you provide may be used by Vizipin without restriction to improve our Services.

13. Disclaimers & Limitation of Liability

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Vizipin’s total liability to you for any claim is limited to the greater of (a) $100 or (b) the total amount you paid to us in the 12 months preceding the claim. Vizipin is not liable for any indirect, incidental, special, consequential, or punitive damages.

14. Indemnity

You agree to indemnify, defend, and hold harmless Vizipin, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, partners, and licensors from and against any claim, demand, action, loss, liability, damage, cost, or expense—including reasonable attorneys’ fees and litigation costs—arising out of or relating to your use of the Services in any manner. This includes, without limitation, claims resulting from real-world capture services you request or perform, your breach of these Terms or any applicable law, the content, data, or communications you submit or transmit through the Platform, your interactions or disputes with other Users or Fulfillers, and your misuse or unauthorized use of any features, tools, permissions, or functionalities provided by Vizipin.

You further acknowledge and agree that Vizipin retains the right, but not the obligation, to assume the exclusive defense and control of any matter subject to your indemnification obligations. If Vizipin elects to assume such defense, you agree to cooperate fully and promptly with Vizipin in asserting any available defenses and in providing any information, documentation, or assistance reasonably requested in connection with the defense or settlement of the claim. Your indemnity obligations remain in effect regardless of the outcome of any such matter and survive the termination of your account or your cessation of use of the Services.

15. Arbitration & Class Action Waiver

Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services will be resolved exclusively through binding arbitration, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in King County, Washington, unless you and Vizipin agree otherwise.

You and Vizipin agree that all claims must be brought on an individual basis only, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. Class arbitrations and class actions are not permitted.

You may pursue an eligible claim in small claims court in your county of residence or in King County, Washington, instead of arbitration.

You may opt out of arbitration within 30 days of creating your account by sending an email to admin@vizipin.com with the subject line “Arbitration Opt-Out” and including your name, account email, and a clear statement that you wish to opt out. Opting out does not affect your other rights or obligations under these Terms.

If a dispute arises, you must first provide Vizipin an opportunity to resolve it informally by contacting us at admin@vizipin.com. If the dispute is not resolved within 30 days, either party may initiate arbitration by submitting a request to AAA.

This Arbitration & Class Action Waiver section survives termination of your account or these Terms.

16. App Store & Third-Party Terms

If you download the app from the Apple App Store or Google Play, you must comply with their respective terms and conditions. Apple and Google are not responsible for the Services, do not participate in payment processing, and assume no liability arising from your use of Vizipin. All licenses granted to you by Vizipin are revocable at our discretion.

17. Governing Law

These Terms, and any dispute or claim arising out of or relating to them or the Services, shall be governed by the laws of the State of Washington, excluding its conflicts-of-law rules. You agree that Washington law governs all claims, regardless of where you access or use the Services.
